1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. 2. Service Description

Onewrk provides YouTube channel management and video marketing services ("Services") to help businesses grow their online presence. Our Services may include, but are not limited to:

• YouTube channel strategy and optimization
• Video content production and editing
• Channel growth and audience development
• Performance analytics and reporting

The specific Services to be provided will be outlined in a separate service agreement or proposal agreed upon by both parties.

3. User Accounts

Some of our Services may require you to create an account. When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Payment Terms

Fees for our Services are specified in your service agreement or proposal. Unless otherwise stated, all fees are in USD and are non-refundable.

For subscription-based Services, you will be billed in advance on a recurring basis. By providing your payment information, you authorize us to charge your payment method for all Services you use.

If we are unable to process your payment, we may suspend your access to the Services until payment is received. Persistent payment issues may result in termination of your Services.

5. User Content

"User Content" refers to any content you provide to us for use in connection with the Services, including but not limited to videos, images, text, logos, and branding materials.

By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content for the purpose of providing and promoting our Services.

You represent and warrant that:

• You own or have the necessary rights to all User Content you provide
• Your User Content does not infringe on the intellectual property rights or other rights of any third party
• Your User Content complies with these Terms and all applicable laws and regulations

6. Intellectual Property

Onewrk and its licensors own all intellectual property rights in the Services and all content created by Onewrk, including but not limited to software, designs, text, graphics, logos, and icons.

We grant you a limited, non-transferable, non-exclusive license to use the Services for your personal or business purposes in accordance with these Terms.

You may not:

• Modify, create derivative works, or reverse engineer any part of the Services
• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Services

7. Term and Termination

These Terms remain in effect for as long as you use our Services.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Onewrk, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims arising from or relating to these Terms or your use of the Services shall not exceed the amount paid by you to Onewrk during the twelve (12) months immediately preceding the event giving rise to such claim.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Onewrk does not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.

10. Indemnification

You agree to defend, indemnify, and hold harmless Onewrk and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms shall be finally settled by arbitration in Mumbai, India, using the English language in accordance with the Arbitration and Conciliation Act, 1996.
